Terms of Service

1 Services Provided

Dawnstar provides B2B industrial water treatment and wastewater treatment solutions, including but not limited to:

• • Process design, equipment integration, and system manufacturing
• • RO/UF/EDI systems, desalination units, and wastewater treatment systems
• • Commissioning support and technical consultation
• • Factory acceptance testing and delivery documentation

2 Client Obligations

Clients agree to:

• • Provide accurate and complete project requirements, water quality data, and site conditions
• • Comply with all applicable local laws, regulations, and safety standards
• • Ensure proper installation environment and infrastructure readiness
• • Make timely payments according to agreed terms

3 Quotations and Orders

All quotations are valid for 30 days unless otherwise specified. Orders are confirmed upon receipt of signed purchase order and deposit payment. Specifications, delivery schedules, and payment terms will be outlined in the project-specific contract or purchase order.

4 Pricing and Payment

• • Prices are quoted in USD or other agreed currency, excluding taxes, duties, and shipping unless stated
• • Standard payment terms: 30% deposit, 60% before shipment, 10% after commissioning (subject to negotiation)
• • Late payments may incur interest charges and delay delivery

5 Delivery and Risk Transfer

Delivery terms are defined per Incoterms 2020 (e.g., EXW, FOB, CIF). Risk transfers to the Client upon delivery per agreed terms. Delivery schedules are estimates and subject to force majeure or Client-caused delays.

6 Warranty and Limitation of Liability

We warrant that equipment will meet agreed specifications under proper operation and maintenance. Warranty period is typically 12 months from commissioning or 18 months from shipment, whichever comes first.

Warranty excludes: improper installation, misuse, unauthorized modifications, normal wear, or failure to follow maintenance guidelines.

Our total liability shall not exceed the contract value. We are not liable for indirect, consequential, or punitive damages.

7 Intellectual Property

All designs, drawings, technical documentation, and proprietary information remain our intellectual property. Clients may use them solely for the intended project and may not reproduce, disclose, or transfer without written consent.

8 Confidentiality

Both parties agree to keep confidential all non-public information exchanged during the project, except as required by law or with prior written consent.

9 Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, war, pandemics, government actions, or supply chain disruptions.

10 Dispute Resolution

Disputes shall be resolved through good-faith negotiation. If unresolved within 30 days, parties may pursue arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC) in Qingdao, China, with proceedings in English.

These Terms are governed by the laws of the People's Republic of China.

11 Amendments

We reserve the right to update these Terms. Clients will be notified of material changes. Continued engagement constitutes acceptance of revised Terms.

12 Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.
